1. About These Terms

These Terms of Service ("Terms") govern your access to and use of all websites, services, products, and communications provided by the following legal entities. By accessing our websites, enrolling in any course, engaging any service, or communicating with us, you agree to be bound by these Terms in their entirety. You must be at least 18 years of age to use our services.

1. Nature of Services

License 2 Close, LLC is a licensed Florida real estate brokerage with active MLS membership. Services include buyer and seller representation, MLS property listings, transaction coordination, referral services, and real estate market consulting. All advertising clearly identifies License 2 Close, LLC as the licensed brokerage in accordance with FREC advertising Rule 61J2-10.025, F.A.C.

License 2 Close does not provide legal, tax, financial, mortgage, or investment advice. Consult licensed professionals for advice specific to your situation.

2. Agent License Parking & Onboarding

License 2 Close, LLC and License Closet DBA License 2 Close Realty offer Florida-licensed real estate agents the ability to hold ("park") their active Florida real estate license under the brokerage. The following terms apply to all agents under the brokerage umbrella:

Agent Eligibility

  • Agents must hold or be actively eligible to hold a valid Florida real estate Sales Associate or Broker Associate license at the time of onboarding
  • Agents must complete all brokerage onboarding requirements, sign the Independent Contractor Agreement, and receive broker approval before conducting any real estate activity under the brokerage
  • Agents with disciplinary history, pending FREC investigations, or suspended/revoked licenses are not eligible without prior broker approval

MLS & REALTOR® Board Membership — Required

License 2 Close, LLC is an MLS brokerage. Agents who hold their license with License 2 Close, LLC are required to maintain active MLS membership and REALTOR® board membership. This includes local board dues, state association dues, and National Association of REALTORS® (NAR) dues, as well as applicable MLS subscription fees.

These dues and fees are paid directly by the agent to the applicable board and MLS and are not included in any License 2 Close brokerage plan or fee. Agents are solely responsible for enrolling, paying, and maintaining membership in good standing.

Agents who do not wish to pay MLS or REALTOR® board dues should consider License Closet, LLC DBA License 2 Close Realty instead — our non-MLS brokerage, where board and MLS membership are not required. See the License Closet / L2C Realty tab for details.

Advertising & Compliance

All agents operating under the brokerage must comply with Florida FREC advertising rules, fair housing laws, Do Not Call regulations, CAN-SPAM requirements, brokerage policies, and all other applicable federal and state laws. All real estate advertising must clearly include the licensed brokerage name as required by FREC Rule 61J2-10.025.

No Guarantee of Leads

Leads are not guaranteed. The brokerage makes no representation that any leads will be provided, generated, or assigned to any agent. Any lead assignment, if offered, is governed by a separate written agreement specifying assignment rules, split, and eligibility requirements.

3. Agency Relationships & Disclosures

All brokerage relationships are governed by Florida Statutes Chapter 475. Prior to any representation, License 2 Close will provide required agency disclosures:

  • Transaction Broker (default in FL): Limited representation — honesty, accounting, skill — without full fiduciary duties
  • Single Agent: Full fiduciary representation of one party — loyalty, confidentiality, obedience, full disclosure
  • No Brokerage Relationship: Customer relationship with no representation

Transition from Single Agent to Transaction Broker requires written consent per Florida Statute §475.278.

4. Listing Agreements

  • Listing agreements are binding contracts setting forth price, commission, term, and scope of services
  • Seller authorizes MLS submission subject to MLS rules and regulations
  • Seller must disclose all known material defects as required by Florida law — failure to disclose may create legal liability
  • Early termination may result in fees as specified in the agreement
  • Marketing rights include digital platforms, social media, yard signs, lockbox installation, and other agreed means

5. Buyer Representation Agreements

  • Written Buyer Representation Agreement establishes scope, compensation, and term
  • Buyer agrees to work exclusively with License 2 Close during the agreement term unless otherwise specified
  • Compensation arrangements are disclosed in the agreement per current NAR settlement requirements
  • License 2 Close does not guarantee that any offer will be accepted or any property will be available

6. Commission, Compensation & Referrals

  • All commissions are negotiable and set forth in the applicable written agreement
  • Commission is earned upon successful closing as defined in the agreement
  • Referral fees to or from other licensed professionals are disclosed to all parties per Florida law and RESPA
  • License 2 Close does not accept undisclosed compensation from any third party

7. Fair Housing & MLS Compliance

License 2 Close is committed to full compliance with the Fair Housing Act (42 U.S.C. §§ 3601–3619), the Florida Fair Housing Act (F.S. §760.20–760.37), and all MLS rules and regulations. Discrimination on the basis of any protected class is strictly prohibited. Complaints may be filed with HUD at hud.gov or the Florida Commission on Human Relations.

1. Nature of Services — Non-MLS Real Estate Brokerage

License Closet, LLC, operating under the registered fictitious name (DBA) License 2 Close Realty, Real Estate Corporation #CQ1069182, is a licensed Florida real estate brokerage operating outside of MLS membership. All services are governed by Florida Statutes Chapter 475. This entity does not engage in home design, organization, or any non-real estate services. Services include:

  • Agent License Parking: Holding the active Florida real estate license of Sales Associates and Broker Associates who are not actively transacting and do not require MLS access
  • Referral Brokerage: Placing and receiving licensed referrals between Florida-licensed real estate professionals
  • Non-MLS Buyer/Seller Coordination: Assisting with off-market, FSBO, and pocket listing transactions
  • Real Estate Consulting: Market advisory, transaction guidance, and professional consulting on a fee-for-service basis
  • Transaction Coordination Support: Administrative coordination support for licensed agents and brokers

License Closet DBA License 2 Close Realty does not list properties on any MLS platform and does not participate in MLS co-brokerage. Clients needing MLS services should engage License 2 Close, LLC directly.

2. License Parking — Agent Terms

Agents who park their Florida real estate license with License Closet DBA License 2 Close Realty ("parked agents") agree to the following:

  • Parked agents must hold a valid, active Florida real estate license at the time of and throughout the duration of their enrollment
  • Parked agents must sign a written Independent Contractor Agreement specifying the terms of the parking arrangement, fees, and agent obligations
  • Parked agents may not conduct active real estate transactions, represent buyers or sellers, or receive commissions without first obtaining broker approval and completing active-agent onboarding requirements
  • Parked agents are responsible for maintaining their own Florida license in good standing, completing CE requirements, and renewing on time. The brokerage does not manage individual license renewals on behalf of agents
  • The brokerage does not guarantee leads, listings, buyers, closings, or income to parked agents

MLS & REALTOR® Board Membership — Not Required

License Closet, LLC DBA License 2 Close Realty is a non-MLS brokerage. MLS membership and REALTOR® board membership are NOT required to hold your license here. You are not obligated to pay local board dues, state association dues, NAR dues, or MLS subscription fees to park your license with this entity.

Because this brokerage does not participate in MLS, parked agents do not receive MLS access. Agents who wish to join an MLS or REALTOR® board may do so independently at their own cost, but doing so is entirely optional and is not administered by the brokerage.

Agents who need MLS access and REALTOR® membership must hold their license with License 2 Close, LLC instead — our MLS brokerage, where board and MLS dues are required. See the License 2 Close (MLS) tab for details.

3. Agency Relationships & Disclosures

All brokerage services are governed by Florida Statutes Chapter 475. Written agency disclosures will be provided prior to any real estate service. No brokerage relationship will be assumed — all relationships require a signed written agreement.

4. Referral Brokerage Terms

  • Referral arrangements require a written agreement between licensed brokers before the referral is placed
  • Referral fees are earned only upon successful closing as specified in the written agreement
  • License Closet DBA License 2 Close Realty does not guarantee the performance of any referred professional
  • All referral fees are disclosed per Florida Statute §475 and RESPA (12 U.S.C. §2607)

5. Non-MLS Transaction Terms & Limitations

  • A written service or representation agreement is required before facilitation or representation begins
  • Off-market properties have reduced exposure vs. MLS listings — sellers accept this limitation when electing non-MLS marketing
  • Clients are strongly encouraged to retain a licensed Florida real estate attorney for all non-MLS transactions
  • License Closet DBA License 2 Close Realty does not provide legal, title, escrow, mortgage, or financial services

6. Fair Housing Compliance

3. Pre-Licensing — 63-Hour Course

Eligibility

  • 18 years of age or older
  • Valid U.S. Social Security number
  • High school diploma or GED equivalent
  • Not under active FREC license revocation or suspension

FREC does not permit waivers of the 63-hour attendance requirement. All 63 hours must be completed to be eligible for the end-of-course exam.

End-of-Course Exam & FREC Reporting

Upon completing all 63 hours, students take the FREC-approved end-of-course exam. Upon passing, License 2 Learn reports completion to FREC. The student is then eligible to apply for the Florida state licensing exam through Pearson VUE and is responsible for submitting their own DBPR/FREC application and fees.

Course completion does not guarantee licensure, state exam passage, or employment.

4. Post-Licensing Courses

Sales Associates (45 hrs): Required before first biennial renewal. Failure to complete before the renewal deadline results in the license becoming null and void — the licensee would need to re-qualify as a new applicant. Post-licensing does not satisfy the 14-hr CE requirement for subsequent renewals.

Brokers (60 hrs): Required before the Broker's first renewal. Covers broker management, supervision, and operational requirements per FREC curriculum.

5. Continuing Education (CE)

Florida requires licensed Sales Associates and Brokers to complete 14 hours of FREC-approved CE each biennial renewal period, including a mandatory 3-hour Core Law course. License 2 Learn CE courses satisfy this requirement. Upon successful completion, License 2 Learn reports credits to FREC. It is the licensee's sole responsibility to verify credits are posted to their DBPR record before their renewal deadline. Partial attendance does not qualify for CE credit.

6. Agent-Ready Training (Non-Credit)

Agent-Ready courses are practical, skills-focused training for licensed agents. They are not FREC-approved, carry no CE credits, and satisfy no Florida licensing requirement. Topics may include contract writing, buyer/listing consultations, prospecting, social media, open house strategy, and business planning. Certificates of completion issued for Agent-Ready courses have no regulatory standing with DBPR or FREC.

Agent-Ready training certificates are not FREC certificates and cannot be applied toward any licensing, renewal, or CE requirement.

7. YouTube Education Channel

License 2 Learn and License 2 Close publish free real estate education, tips, market commentary, and career guidance at youtube.com/@license2close. The following applies to all YouTube content:

  • No CE Credits: YouTube content does not constitute FREC-approved coursework and carries no CE credits under any circumstances
  • Informational Only: Content is general education, not legal, financial, tax, or investment advice
  • No Accuracy Warranty: Real estate laws and market conditions change; we do not warrant that content is current or complete at time of viewing
  • No Professional Relationship: Viewing does not create a client, student, or professional relationship
  • Copyright: All video content is our intellectual property. Downloading for redistribution or commercial use is prohibited
  • Third-Party Platform: Subject to YouTube's own Terms of Service. We are not responsible for platform decisions made by YouTube

8. General Enrollment Terms

Enrollment & Information Accuracy

Enrollment is confirmed upon receipt of full payment. Provide accurate personal information — for FREC-reportable courses this includes legal name, date of birth, address, and Florida license number (CE/post-licensing) or SSN (pre-licensing). Inaccurate information may delay or void FREC reporting.

Technology Requirements

Students are responsible for reliable internet access, a compatible device, current browser, and valid email address for online or hybrid course formats. License 2 Learn is not responsible for third-party course platform outages or technical failures outside our control.

Academic Honesty

  • No recording, photographing, or reproducing class sessions, materials, or exams without written consent
  • Exam dishonesty (sharing content, unauthorized materials, impersonation) results in immediate dismissal without refund and may be reported to FREC
  • Course logins and materials may not be shared, resold, or redistributed

1. Payments & Billing

Payments are processed through secure third-party processors. We do not store full card data. All prices are in U.S. dollars. 2. Marketing Consent

By submitting a contact or inquiry form on any of our websites, you agree to be contacted by phone, email, and text message where legally permitted in connection with your inquiry. For SMS marketing, separate express written consent is required and is obtained through a clearly labeled opt-in checkbox. Email marketing complies with the CAN-SPAM Act, including accurate sender identification, non-deceptive subject lines, a valid postal address, and an unsubscribe option honored within 10 business days.

3. Intellectual Property

All course materials, training content, branding, logos, website content, marketing materials, videos, and digital assets are the exclusive intellectual property of their respective companies and may not be reproduced, distributed, modified, or used to create derivative works without prior written consent. Course materials are licensed to enrolled students for personal, non-commercial use only.

4. Earnings & Results Disclaimer

We make no guarantee of income, commissions, leads, closings, exam passage, licensure approval, employment, agent productivity, or real estate investment results. Real estate income depends on individual effort, market conditions, skills, experience, economic factors, and many variables outside our control. Any examples of earnings or outcomes used in marketing materials are not typical and are not a promise or guarantee of similar results for any individual.

5. Disclaimers & Limitation of Liability

Services are provided "as is" without warranties of any kind. To the fullest extent permitted by Florida law, our entities shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our services. Our total cumulative liability for any claim shall not exceed the total amount paid for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless License 2 Close, License Closet DBA License 2 Close Realty, License 2 Learn, and their respective officers, agents, and employees from claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of applicable law; or (d) any transaction entered into as a result of our services.

7. Governing Law & Dispute Resolution

These Terms are governed by Florida law. Prior to any legal proceeding, parties agree to good-faith negotiation or mediation. Any unresolved disputes are subject to the exclusive jurisdiction of the state and federal courts in Orange County, Florida.

This Privacy Policy describes how License 2 Close, License Closet DBA License 2 Close Realty, and License 2 Learn Real Estate School collect, use, disclose, and protect your personal information when you visit our websites, enroll in courses, book services, or communicate with us.

  • Cookies, pixel tags, and similar tracking technologies

Third-Party Analytics & Advertising Pixels

Our websites may use the following third-party tracking tools. Each tool collects data as described in its own privacy policy:

  • Meta (Facebook/Instagram) Pixel: Tracks website visits and conversions for Facebook and Instagram ad targeting and retargeting
  • TikTok Pixel: Tracks website visits and conversions for TikTok advertising

  • Report course completions and CE credits to FREC as required by law

  • Meet all applicable legal obligations

4. How We Share Your Information

We do not sell your personal information to third parties. We may share with:

  • Service Providers: Payment processors, SMS platforms, email services, MLS platforms, course platforms, and website hosts — all contractually obligated to protect your data
  • Advertising Platforms: Meta, TikTok, and Google receive anonymized pixel data for ad delivery and retargeting, subject to their own data use policies
  • Regulatory Bodies: FREC and DBPR as required for course completion, CE reporting, and licensing compliance
  • Cooperating Professionals: Licensed brokers and agents as necessary to facilitate authorized transactions
  • Legal Requirements: When required by law, court order, or government authority

We will never sell, rent, or trade your personal information to third-party marketers.

5. Mobile Information & SMS Consent

This section is required for 10DLC compliance and carrier approval.

If you provide your mobile phone number and opt in to receive text messages from us, we may use your number to send messages related to your inquiry, agent program, brokerage services, real estate school enrollment, course updates, appointments, reminders, account updates, and marketing communications where permitted.

We do not sell, rent, or share mobile phone numbers, SMS opt-in data, or SMS consent with any third parties or affiliates for their marketing or promotional purposes.

Text messaging originator opt-in data and consent will not be shared with any third parties, except as necessary to provide messaging services, comply with applicable law, or operate our business through our registered Campaign Service Provider (Go High Level).

SMS consent records are retained for a minimum of four (4) years to satisfy carrier compliance and TCPA audit requirements. You may opt out of SMS at any time by replying STOP to any message from us.

6. Cookies & Tracking

We use cookies, pixel tags, and similar technologies to improve user experience, analyze traffic, and deliver targeted advertising. Types of cookies we use:

  • Essential Cookies: Required for website functionality — cannot be disabled
  • Analytics Cookies: Google Analytics — track page views, sessions, and user behavior
  • Marketing/Advertising Cookies: Meta Pixel, TikTok Pixel — enable retargeting and conversion tracking

4. How to Opt In

You may opt in to receive text messages from us by:

  • Checking the SMS consent checkbox on any of our web forms (checkbox is unchecked by default and must be affirmatively selected)
  • Verbally agreeing during a phone consultation or enrollment call, with your agreement documented in our CRM
  • Texting an opt-in keyword to our designated number

Consent to receive text messages is not a condition of purchasing any service or enrolling in any course. Opting out does not affect your enrollment or service status.

Mobile Messaging Program Terms

License Closet, License 2 Close, LLC, License 2 Close Realty, and/or License 2 Learn Real Estate School may send SMS/text messages to individuals who opt in to receive communications from us. By providing your mobile number and opting in, you agree to receive text messages related to your inquiry, real estate license parking options, brokerage services, agent onboarding, real estate school courses, appointments, reminders, account updates, course updates, marketing messages, and related services.

Message frequency may vary. Message and data rates may apply.

You may opt out at any time by replying STOP to any text message. After replying STOP, you may receive one final confirmation message. To receive help, reply HELP or contact us at [email protected] or 407-807-8007.

Consent to receive text messages is not a condition of purchasing any goods or services.

Wireless carriers are not liable for delayed or undelivered messages.

We do not sell, rent, or share mobile opt-in data or consent with third parties or affiliates for marketing or promotional purposes.

6. How to Opt Out

After opting out, you receive one final confirmation text. No further marketing messages will be sent. Transactional messages related to an active enrollment or booking may continue unless you request complete cessation in writing. To re-enroll in SMS, fresh consent is required — prior consent cannot be reinstated after a STOP request.

7. Sending Hours

Marketing and promotional messages are limited to 8:00 AM – 8:00 PM in the recipient's local time zone per TCPA and CTIA guidelines. Transactional messages may be sent outside these hours when operationally necessary (e.g., urgent class cancellation).

8. Privacy of Mobile Data

Mobile phone numbers and SMS consent records are stored securely within Go High Level (GHL) and are not shared with third parties for marketing purposes. Records are retained for a minimum of four (4) years. See our full Privacy Policy for complete details.

SMS & 10DLC Compliance Policy

1. Overview

All business SMS/MMS is sent only to opted-in recipients through registered 10DLC phone numbers in compliance with U.S. carrier requirements, The Campaign Registry (TCR), TCPA, and CTIA Messaging Principles.

Message and data rates may apply. Reply STOP to opt out. Reply HELP for assistance.

As of February 1, 2025: All major U.S. carriers block 100% of unregistered business SMS traffic. Our programs are fully registered and compliant.

2. What Is A2P 10DLC?

10DLC (10-Digit Long Code) is the U.S. carrier system for verifying Application-to-Person (A2P) business text messaging. Created by AT&T, T-Mobile, and Verizon to separate legitimate business messaging from spam. All A2P messaging from 10-digit business numbers must be registered with The Campaign Registry (TCR). Our messaging runs through Go High Level (GHL) as our registered Campaign Service Provider (CSP).

Legal name, EIN, address, and website verified and registered with TCR, establishing sender identity across all U.S. carriers.

GHL Automation Setup is configured per automation. Each individual automation within Go High Level is mapped to its corresponding registered 10DLC campaign use case, so that marketing, appointment reminder, and transactional messages are never sent under a mismatched campaign registration.

4. TCPA Compliance

Our SMS practices comply with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227.

  • Prior Express Written Consent obtained before any marketing texts
  • No Autodialing Without Consent
  • Immediate STOP honoring — no further messages after opt-out confirmation
  • No Purchased Lists — all contacts have directly opted in through our own channels
  • No Consent Transfer between companies or affiliates

TCPA penalties: $500 per unsolicited text; up to $1,500 per message for willful violations.

Agent Program Disclosure

1. What Is the Agent Program?

We operate two separate Florida real estate brokerages, and agents choose the one that fits how they work. The most important difference between them is whether MLS and REALTOR® board membership is required.

This is a brokerage program — not an employment offer. All agents are engaged as independent contractors, not employees. The brokerage does not withhold taxes or provide employee benefits of any kind.

License 2 Close, LLC requires MLS membership and REALTOR® board dues. These are paid by the agent directly to the applicable board and MLS and are never included in any brokerage plan fee.

License Closet, LLC DBA License 2 Close Realty does not require MLS membership or REALTOR® board dues. There are no board dues, NAR dues, or MLS subscription fees associated with holding your license under this brokerage.

3. Plan Options

Park & Earn Plan

Active Agent — Work Your Own Clients

Hold your license, maintain active status, work your own buyers and sellers under broker supervision. Competitive commission split. Broker-approved agents only.

Park & Produce Plan

Referral Agent — Refer & Earn

Hold your license and refer clients to the brokerage or approved cooperating brokers for a referral fee at closing. No active transaction management required.

All plans include: license placement under the brokerage, broker of record oversight and supervision, Independent Contractor Agreement, E&O insurance coverage as specified in the ICA, and basic onboarding. Specific fee amounts, splits, and inclusions are set forth in the current published plan details and your signed Independent Contractor Agreement.

4. What Is NOT Included

  • MLS membership or MLS subscription fees — never included in any brokerage plan. For License 2 Close, LLC agents, MLS membership is required and paid directly by the agent. For License Closet DBA License 2 Close Realty agents, MLS is not required and not available
  • REALTOR® board dues or NAR membership — never included in any brokerage plan. Required and paid directly by the agent at License 2 Close, LLC. Not required at License Closet DBA License 2 Close Realty
  • Leads — not guaranteed. No plan includes guaranteed buyer or seller leads
  • CRM access — not included in the base plan. May be available as a paid add-on
  • Unlimited one-on-one coaching — not included in any base plan
  • Transaction management software — not included unless specified in the agent's plan
  • Marketing materials or ad spend — agent's responsibility
  • License renewal management — each agent is solely responsible for tracking and completing their own CE requirements and renewing their license by the DBPR deadline
  • Legal, tax, or accounting services — agents should engage their own licensed professionals

5. Fees, Billing & Cancellation

Current plan fees are published on our website and may be updated. Fees set forth in your signed Independent Contractor Agreement govern your arrangement. General terms:

  • A one-time setup fee may apply at onboarding — non-refundable
  • Annual plan fees are due at the time of enrollment and are non-refundable after onboarding is complete
  • Monthly plan fees are billed on a recurring basis; agents may cancel by providing written notice per the terms of the ICA
  • Failed or declined payments may result in immediate suspension of active agent status pending payment resolution
  • Transaction fees and broker fees on closed deals are governed by the ICA and are deducted from commission disbursement at closing
  • Optional CRM/support plan fees are billed separately and are non-refundable once the billing period has commenced

6. Agent Obligations

  • Maintain a valid, active Florida real estate license in good standing throughout the duration of enrollment
  • Complete all CE requirements and renew your license by the DBPR deadline — the brokerage does not manage this on your behalf
  • Comply with all FREC regulations, brokerage policies, fair housing laws, advertising rules, TCPA, CAN-SPAM, and all applicable law
  • Conduct all real estate activities under broker supervision and in accordance with the ICA
  • Notify the broker immediately of any FREC investigation, complaint, license action, or legal proceeding
  • All real estate advertising must include the licensed brokerage name per FREC Rule 61J2-10.025

7. No Income Guarantee

The brokerage makes no guarantee of income, commissions, leads, referrals, closings, or agent earnings of any kind. Real estate income depends on individual effort, skills, market conditions, economic factors, and many variables entirely outside the brokerage's control. Any income examples in marketing materials are not typical results and are not a promise of similar outcomes.

Approved refunds will be processed to the original payment method within 7–14 business days. We reserve the right to deny refund requests that do not meet the criteria above.

Chargebacks initiated without first contacting us may result in suspension of services, collection action, and permanent account closure. We request the opportunity to resolve any billing concern before a chargeback is filed.

6. No Refund on Results

We do not offer refunds based on dissatisfaction with real estate market outcomes, failure to pass the Florida state licensing exam, failure to obtain a real estate license, failure to close transactions, or any income or business result. These outcomes depend on individual effort, qualifications, market conditions, and factors entirely outside our control.
